1. Term of License
Client agrees to be bound by these Terms and Conditions for one year after which this license it is renewed automatically on a month to month bais unless cancelled by either party with 30 day written notice.
2. Client License
Permission is granted to Client to one licensed use on one single Client site of iPersonalyze's technology for one year. This is a license, not a transfer of title, and under this license Client may not:
- modify, copy or revise iPersonalyze technology without permission
- use the iPersonalyze technology for more than one Client site.
- attempt to decompile or reverse engineer any software or technology provided by iPersonalyze
- remove any copyright or other proprietary notations, or:
- transfer the to another person or "mirror" the materials on any other server.
This license shall automatically renew on a month to month basis at the currently monthly subscription rate. if you violate any of these restrictions and may be terminated by iPersonalyze at any time. Upon terminating your viewing of these materials or upon the termination of this license, you must destroy any downloaded materials in your possession whether in electronic or printed format.
The technology service provided by iPersonalyze are provided "as is". iPersonalyze makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties, including without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights. Further, iPersonalyze does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials on its Internet web site or otherwise relating to such materials or on any sites linked to this site. iPersonalyze does not take responsibility and makes no warranty for low resolution images users select.
In no event shall iPersonalyze or its fulfillment suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption,) arising out of the use or inability to use iPersonalyze technoloyg, even if iPersonalyze or a iPersonalyze authorized representative has been notified orally or in writing of the possibility of such damage. Because some jurisdictions do not allow limitations on implied warranties, or limitations of liability for consequential or incidental damages, these limitations may not apply to clients in those jurisdictions.
5. Revisions and Errata
The materials and tecnology provided by iPersonalyze's could include technical, typographical, or photographic errors. iPersonalyze does not warrant that any of the materialss make any commitment to update the materials.
7. Terms and Conditions - Modifications
iPersonalyze may revise these terms and conditions at the end of its term. By using iPersonalyze technology Clients is agreeing to be bound by the then current version of these Terms and Conditions of Use.
8. Drop shipped products
If Client chooses to add products to clients' site to be drop shipped by suppliers of the iPersonalyze Network, the Client agrees to be bound by these Terms and Conditions of Use, all applicable laws and regulations, and agree to be responsible for compliance with any applicable local laws . Client acknowledges that the wholesale pricing as published by iPersonalyze plus shipping charges paid by your customer and deposited into a Clients merchant account will be charged to Clients account. As the Merchant of Record client acknowledges all legal requirements to provide customer service, returns and refunds as appropriate, and pay all state and local taxes.
9. Other charges and transaction fees
Any additional work requested by client will be quote by iPersonalyze to client in advance. Only a large enterprise client with a volume of over 500 a month would inclur transaction fees and these fees are subject to negotiation.
10. Governing Law
Any claim relating to iPersonalyze's web site shall be governed by the laws of the State of Texas without regard to its conflict of law provisions.
